Our Process — Atlantic Coast

Our Process

A process built around you, not a checklist.

Selling your business is likely the biggest transaction of your life. It is one of thousands for us. Our entire process exists to even out that gap, protect what you have built, and make sure the only thing tied to our outcome is yours.

Success based, always One dedicated team You approve everything

Why owners choose us

We only win when you win.

Most firms run every deal through the same template, sign the contract, and disappear. We built the opposite. We carry 8 to 10 engagements at a time so every business gets real strategy and real attention.

What follows is how an engagement actually moves with us, from the first deep look at your numbers to the day you close and beyond. It is detailed on purpose. You should know exactly what you are getting before you ever commit to anything.

Phase 01

First, we learn you.

Before strategy, before marketing, before a single buyer hears your name, we get the foundation right.

Step01

In depth valuation and financial analysis

We rebuild your financials the way a buyer and a lender will read them, then ground the value in real market data. No inflated number to win your business and a quiet price cut later. You get the honest figure and the full case behind it, up front.

Custom onboarding, built for your business

This is not a form and a welcome email. We sit down to understand how the business really runs, who depends on it, and what you want life to look like after the sale. We work directly with your bookkeeper, CPA, or anyone else on your side so the lift on you stays light. You have a business to run. We carry the rest, and we keep it as stress free as we can.

Step02
Step03

A dedicated team, not a passed around file

You are a partner here, not a listing. Every partner gets a dedicated M&A advisor and a dedicated deal specialist, backed by our analysts, marketers, and in house counsel. One team that knows your deal cold, start to finish.

Phase 02

Then we build the package.

This is where we earn our reputation. We assemble everything a serious buyer and a lender need, so there are no surprises and no slow downs when it counts.

Step 04

A secure data room and a stage gated NDA buyer flow

We stand up a secure data room and a buyer flow that releases information in stages. Nothing sensitive moves until a buyer has signed an NDA and earned the next step.

Step 05

An in house quality of earnings review

We run our own quality of earnings work before a buyer ever does. We would rather find the questions first and have the answers ready than let a buyer find them and use them against you.

Step 06

Every supporting document a lender or buyer could ask for

SDE and EBITDA breakdowns, add back schedules, and the rest of the supporting package, all built so a lender or buyer knows exactly what they are looking at. Clarity here is what keeps deals from stalling.

Step 07

Pre approved financing through our lender network

We take your business to our strategic network of lenders and work to get it pre approved for financing before launch. A buyer who already knows the money is there moves faster and negotiates less.

Step 08

The best marketing materials in the industry

We are known for it. Your CIM and teaser will be the sharpest a buyer sees all year, built to tell the real story of the business and make the right buyer lean in.

CIM · Teaser · Buyer Materials
Step 09

A marketing strategy set to your comfort level

Confidentiality is your call, and we build the entire go to market plan around it.

Your level, your choice

From total silence to the whole world knowing.

Maximum discretion

No one knows the business is for sale unless we fly out and meet them in person. Quiet, controlled, completely off market.

Full visibility

If you want reach, we go loud, right up to a banner towed behind a plane letting the world know. Whatever the strategy calls for.

Wherever you land on that scale, the plan is intentional and it is yours.

Step 10

You approve everything

Nothing goes live without your sign off. Every document, every word, every buyer touchpoint. It is your business and your name. You see it and approve it before the market ever does.

Phase 03

Then we go find the right buyer.

Not a buyer. The right buyer for you and your business. There is a difference, and it shapes everything we do here.

11

Market launch

With everything approved and the package complete, we take your business to market on the exact strategy you signed off on.

12

We work our network for the right fit

Our network of buyers, private equity firms, and strategic acquirers is built on real relationships, so when we bring them a deal they pay attention. We are not chasing the first check. We are finding the buyer who is right for your people, your legacy, and your number.

13

We filter, vet, and introduce

Every inquiry runs through us first. We confirm financial capacity and build a relationship before a buyer ever reaches you. Only then do we make a guided introduction, usually a call or virtual meeting before any site visit. Your time only goes to buyers who have earned it.

Phase 04

Then we get you to the table.

Offers, diligence, and the paperwork that closes a deal. This is where all of our front loaded work pays off most.

Step 14

The LOI arrives, explained in plain language

When a letter of intent comes in, our attorney reviews it and walks you through every line. You will know exactly what you are agreeing to before anything is signed.

Step 15

We sign the LOI and enter due diligence

Here is the good news. Because our process is so thorough up front, almost everything diligence asks for is already organized and waiting in the data room. What grinds most deals to a halt is behind us before it starts.

Step 16

The purchase agreement is drafted and redlined

The buyer submits a draft. Our attorney reviews and redlines it, but not before sitting down one on one with you and our team so your priorities drive every change we ask for.

Step 17

Terms accepted, closing date set

With the agreement accepted, we lock in the closing date and line up every party so the finish line stays exactly where it should.

Step 18

Closing

The day you have been working toward. We are right there with you through it.

And then we keep going

We stay on your team through the transition

Closing is not the end of our job. We stay engaged to hand the business off cleanly, so the experience is white glove from the first call to long after the wire clears.

A little honesty up front

Something always comes up. That is exactly why we are here.

We have been doing this a long time, so let us be straight with you. No matter how clean or how complicated a deal looks on day one, something always comes up somewhere along the way. That is not a knock on your business. It is simply the nature of this industry, and any advisor who tells you otherwise is not being honest with you.

Here is the difference. Our job is to see it coming, minimize the risk before it ever reaches you, and have a plan ready when it does. When something surfaces, we deal with it, we execute, and we resolve it, so closing and the entire process go as smoothly as they possibly can.

You should never feel alone in those moments. You will not be. That is the whole point of having a real partner in the room.

The right firm is worth the conversation.
